　　１１．付款條件：

　　付款交單：買方應對賣方開具的以買方為付款人的見票后＿＿＿＿＿天付款跟單匯票，付款時交單。

　　１２．單據：賣方應將下列單據提交銀行議付／托收：

　　海運：全套空白抬頭／指示抬頭、空白背書／指示背書注明運費已付／到付的已裝船清潔海運／聯運正本提單，通知在目的港＿＿＿＿＿＿＿＿公司。

　　in case by sea: full set of cleanon board ocean bills of lading/combined transportation bills of lading made outto order blank endorsed/endorsed in favour of ＿＿＿ or made out to order of ＿＿＿, marked "freightprepaid/collected" notifying ＿＿＿ at the port of destination.

　　陸運：全套注明運費已付／到付的裝車的記名清潔運單，通知在目的地＿＿＿＿公司。

　　in case by land transportation: fullset of clean on board land transportation bills made out to ＿＿＿ marked "freight prepaid/collected" notifying ＿＿＿ at the destination.

　　空運：全套注明運費已付(m到付的記名空運單，通知在目的地＿＿＿＿＿公司。

　　in case by air: full set of cleanon board awb made out to ＿＿＿ marked "freight prepaid/collected" notifying ＿＿＿ at the destination.

　　②標有合同編號、信用證號及裝運嘜頭的商業發票一式＿＿＿＿＿份。

　　另外，賣方應在交運后＿＿＿＿＿＿小時內以特快專遞方式郵寄給買方第＿＿＿＿＿＿項單據副本一套。

　　１３．裝運條款：

　　shipping terms:

　　賣方應在合同規定的裝運日期前３０天，以電報／電傳／傳真通知買方合同號

　　、品名、數量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船／訂艙。裝運船只按期到達裝運港后，如賣方不能按時裝船，發生的空船費或滯期費由賣方負擔。在貨物越過船弦并脫離吊鉤以前一切費用和風險由賣方負擔。

　　the sellers shall, 30 days before the shipment date specified in thecontract advise the buyers by cable/telex/fax of the contract no., commodity, quantity, amount, packages, gross weight, measurement, and the date of shipment in order that the buyers can charter a vessel/book shipping space. in the event of the sellers failure to effect loading when the

　　vessel arrives duly at the loading port, all expenses including dead freight and/or demurrage charges thus incurred shall be for sellers accorunt.

　　賣方須按時在裝運期限內將貨物由裝運港裝船至目的港。在ｃｆｒ術語術，賣方應在裝船前２天電傳／傳真／電報買方合同號、品名、發票價值及開船日期，以便買方安排保險。

　　the sellers shall ship the goods duly within the shipping duration from the port of shipment to the port of destination. under cfr terms, the sellers shall advise the buyers by cable/fax/telex of the contract no., commodity, invoice value and the date of despatch two days before the

　　shipment for the buyers to arrange insurance in time.

　　賣方須按時在裝運期限內將貨物由裝運港裝運至目的港。

　　the sellers shall ship the goods duly within the shipping duration from the port of shipment to the port of destination.

　　１４．裝運通知：

　　shipping advice:

　　一俟裝載完畢，賣方應在＿＿＿＿＿＿＿小時內電傳／傳真／電報買方合同編號、品名、已發運數量、發票總金額、毛重、船名／車／機號及啟程日期等。

　　the sellers shall immediately upon the completion of the loading of

　　the goods, advise buyers of the contract no., names of commodity, loading quantity, invoice values, gross weight, name of vessel and shipment date by tlx/fax/cable within ＿＿＿ hours.

　　１５．質量保證：

　　quality guarantee:

　　貨物品質規格必須符合本合同及質量保證書之規定，品質保險期為貨到目的港＿＿＿＿個月內。在保證期限內，因制造廠商在設計制造過程中的缺陷造成的貨物損害應由賣方負責賠償。

　　the sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and letter of quality guarantee. the guarantee period shall be＿＿＿months afterthe arrival of the goods at the port of destination, and during the period the sellers shall be responsible for the damage due to the defects indesigning and manufacturing of the manufacturer.

　　１６．商品檢驗：賣方須在裝運前＿＿＿＿＿日委托＿＿＿＿＿＿檢驗機構對本合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買方委托＿＿＿＿＿＿＿檢驗機構進行復檢。

　　goods inspection: the sellers shall have the goods inspected by ＿＿inspection authority ＿＿ days before the shipment and issued the inspection certificate. the buyers shall have the goods reinspected by＿＿inspection authority after the goods arrival at the destination.

　　１７．索賠：

　　claims:

　　如經中國＿＿＿＿＿＿檢驗機構復檢，發現貨物有損壞、殘缺或品名、規格、數量及質量與本合同及質量保證書之規定不符，買方可于貨到目的港后＿＿＿＿＿天內憑上述檢驗機構出具的證明書向賣方要求索賠。如上述規定之索賠期與質量保證期不一致，在質量保證期限內買方仍可向賣方就質量保證條款之內容向賣方提出索賠。

　　the buyers shall lodge claims against the sellers based on the inspection certificate issued by china ＿＿ inspection authority ＿＿ days after the arrival of the goods at the destination, if the goods are found to be damaged, missing or the specifications, quantity, and quality notin conformity with those specified in this contract and letter of quality guarantee. in case the claim period above specified is notin conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.

　　１８．延期交貨違約金：

　　late delivery and peralty

　　除雙方認可的不可抗力因素外，賣方遲于合同規定的期限交貨，如買方同意遲延交貨，賣方應同意對信用證有關條款進行修改和同意銀行在議付貨款時扣除本條規定的違約金。違約金總值不超過貨物總價值的５％，差率按７天０．５％計算，不滿７天仍按７天計算。在未采用信用證支付的情況下，賣方應將前述方法計算的違約金即付買方。

　　if the sellers fail to make delivery on time asstipulated in the contract, with exception of force majeure, the buyers shall agree to postpone the delivery onconditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation. the penalty, however, shall not exceed 5％ of the total value of the goods. the rate of penalty is charged

　　at 0.5％ forevery seven days, if less than seven days. in case, the payment is not made through l/c, the sellers shall pay the penalty counted as above to the buyers as soon as possible.

　　１９．不可抗力：如發生不可抗力情況，賣方應及時以電報／傳真／電傳通知

　　買方，并在十四天內郵寄事故發生地政府或商會出具的證明事故的文件。

　　force majeure: the sellers shall advise the buyers by cable/fax/tlx

　　in case of force majeure, and furnish the later within 14 days by registered airmail with a certificate issued by local government/ chamber of commerce attesting such event or events.

　　２０．爭議之解決方式：

　　disputes settlement:

　　任何因本合同而發生或與本合同有關的爭議，應提交中國國際經濟貿易仲裁委員會，按該會的仲裁規則進行仲裁。仲裁地點在中國。仲裁裁決是終局的，對雙方均有約束力。

　　all disputes arising out of the contractor concerning the contract,

　　shall be submittedto the china international economic and trade arbitration commission for arbitrationin accordance with its arbitration rules.

　　the arbitration shall take place in china. the arbitral award is final

　　and binding upon both parties.

　　２１．法律適用：

　　law application:

　　本合同之簽訂地、或發生爭議時貨物所在地在中華人民共和國境內或被訴人為中國法人的，適用中華人民共和國法律，除此規定外，適用《聯合國國際貨物銷售合同公約》。

　　it will be governed by the law ofthe peoples republic of china under the circumstances that the contract is signed or the goods while the disputes arising are in the peoples republic of china or the deffendant is chinese legal person, otherwise it is governed by united nations convention on contract for the international sale of goods.

　　２２．本合同使用的ｆｏｂ、ｃｆｒ、ｃｉｆ、ｄｄｉ術語系根據國際商會《incoterms 1990》。

　　the terms in the contract are based on incoterms 1990 of the international chamber of commerce.

　　２３．文字：

　　versions:

　　本合同中、英兩種文字具有同等法律效力，如文字解釋有異議，應以中文本為準。

　　this contract is made out in both chinese and english of which version is equally effective. conflicts between these two languages arising therefrom, if any, shall be subject to chinese version.

　　２４．附加條款（本合同上述條款與本附加條款抵觸時，以本附加條款為準）：
